These Terms of Service (“Terms”) govern your use of Array, provided by Myriad HR Solutions Inc dba Array, a Delaware corporation (“Array,” “we,” “us”). By using Array, you agree to these Terms.
1. Services & Accounts
- Free Tier: You get one AI-generated project plan (“Array”) plus ongoing access to the Array structure for manual projects.
- Paid Plans: $995/month per team, or $9,995/year prepaid. Billing is done in-app.
- Accounts are for business use only. You are responsible for keeping your login secure.
2. Term & Renewal
- Subscriptions run monthly or annually, depending on what you select.
- You may switch between monthly and annual billing in-app at the start of your next billing cycle.
- Subscriptions auto-renew unless either party gives 30 days’ notice before the renewal date.
- Cancellations take effect at the end of your current billing period. We do not offer refunds for unused time.
- At cancellation, the account will revert to the free tier with ongoing access to your original AI Array in its most updated version, along with all free tier benefits.
3. Customer Data & Privacy
- You own the data you provide to us.
- You grant us a license to use your data only to operate and improve the service.
- We do not sell or share your data. Our privacy practices are set out in our Privacy Policy.
4. AI-Generated Content
- You may use AI-generated project plans for your internal business purposes. You should always review and adapt outputs for your specific needs.
- Array retains ownership of the underlying software, models, templates, and know-how used to generate outputs.
5. Intellectual Property
- Except for your data, all intellectual property in the services remains with Array.
- You agree not to copy, modify, or reverse-engineer Array.
- Feedback you provide may be used by Array without restriction.
6. Payment
- Fees are due via in-app billing.
- If payment fails, we may suspend access until resolved.
7. Disclaimers & Limitation of Liability
- Array is provided “as is.” We make no warranties about accuracy, reliability, or fitness for a particular purpose.
- To the maximum extent permitted by law, our liability is limited to the fees you paid us in the 12 months before the claim.
8. Termination
- Either party may terminate for breach if not cured within 30 days of notice.
- You may terminate at any time as described in Section 2.
9. Governing Law & Disputes
- These Terms are governed by Delaware law.
- Before starting formal legal action, both parties agree to try in good faith to resolve disputes informally.
- If that fails, disputes will be handled in the courts of Delaware.
10. Other
- These Terms are the entire agreement between you and Array.
- We may update these Terms from time to time; if we make material changes, we’ll notify you.
- If any part of these Terms is unenforceable, the rest remains in effect.
